      We have an EC with 5 members, one has recently sold up so now down to 4. What’s our quorum? And in layman’s terms, how do we fill the position? The next EC meeting is a few weeks off.

        Your quorum is three (2.5 actually but try working that out without bloodshed).
        Your last AGM presumably set the membership at five so your quorum is half that.
        You need three memebrs to be at the meeting in person (proxies won’t count unless they’re approved by the meeting … which has to be quorate) and then you elect a new member who joins until the next AGM. The new member is elected by a simple majority of the EC members.

          Thanks Jimmy – so do we post a notice asking for applications in time for the next meeting? Or approach some possible suspects?

          Slightly off-topic, but I thought I would use this post rather than create another.

           

          We have an EC of 5 as well as an Strata Manager to whom we’ve delegated 99.99% of the office bearer functions.

           

          We are trying to organise a quarterly EC meeting with the Strata Manager present as there are a few very tricky topics that we need to close and were given a list of dates to choose from via a poll.

          3 EC members (2 of of whom are generally inactive) can attend on a particular date.

          The chair and Treasurer cannot attend on that date, however the meeting was called by the SM none-the-less.

          Would such a meeting be quorate?

          Oh, and edit….by quorate ( I know that strictly speaking 3 out 5 members is quorate) I mean to say is the action legitimate when all 5 of the EC want to attend the meeting (it’s just that the date selected by the SM doesn’t suit the chair and treasurer)

            It’s quorate and probably legitimate (if not entirely moral) as it sounds like the Strata Manager has delegated powers as secretary.  If you also have an elected secretary you can ask them to over-ride the SM’s meeting plans.

            Or you can ask just one of the other EC members who can make it to say they won’t attend if the Chair and Treasurer aren’t there – then it won’t be quorate. Basically, you should come up with dates when your chair and treasurer and most other members can attend and let the SM try to fit in with your plans, within reason, rather than the other way round.

            Strata Managers will hate me for saying this but it’s a case of the tail wagging the dog, otherwise.
